The arta360 platform (https://arta360.com) is operated by Convex Technologies S.R.L., a Romanian legal entity, headquartered at Str. Edgar Quinet, nr. 29, Cluj-Napoca, Romania, registered with the Romanian Trade Registry under no. J12/756/20.02.2023, tax ID RO47666502 ("arta360", "we", "us").
These Terms and Conditions ("Terms") govern the use of the arta360 platform by artists who register as sellers and list artworks for sale ("Artist", "you"). For the terms applicable to people who buy artworks on the platform, see the Buyer Terms and Conditions.
By creating an artist account, accepting these Terms, and checking the corresponding acknowledgements on the registration form, you confirm that you have read, understood, and accepted these Terms.
1. What the platform is
arta360 is an online marketplace through which artists can list and sell original artworks directly to buyers. arta360 does not purchase or resell artworks — you remain the legal and commercial seller of every artwork you list; arta360 provides the technical infrastructure, payment processing, and related services in exchange for a vendor membership subscription and a per-order commission.
2. Eligibility and artist account
2.1. You must be at least 18 years old to register as an artist.
2.2. Initial registration requires basic contact details (name, email, phone, password). After your first sign-in, you are required to complete additional identification details — registration type (individual/company), address, and fiscal/legal data — on your profile page before you can publish any listing. The platform will automatically redirect you to this step until it is complete.
2.3. You are responsible for the accuracy and currency of the information you provide, including the fiscal data required for invoicing and reporting (see Section 9).
3. Vendor membership subscription
3.1. Listing artworks for sale requires an active subscription, chosen from the plans shown on the membership page. Every new subscription includes a 7-day free trial, during which your card is saved but not charged.
3.2. At the end of the trial, the subscription activates and is billed according to the chosen plan, renewing automatically each year unless cancelled earlier from your artist account.
3.3. You may cancel auto-renewal at any time from your account; cancellation takes effect at the end of the current billing period. Amounts already billed for an activated subscription are not refunded on a pro-rata basis for the remaining period, except where required by law or in case of a billing error attributable to arta360.
4. Connecting your Stripe account — required to receive card-payment payouts
4.1. To receive payment for sales made by card, you must open and connect a Stripe Connect account from your artist dashboard (the dedicated section provided there). Without this connection, amounts from card-paid orders cannot be transferred to you and remain pending ("payout pending") until the connection is completed.
4.2. At registration, you explicitly confirm, via a checkbox separate from your acceptance of these Terms, that you are aware of this requirement. This acknowledgement is recorded on your account.
4.3. Connecting your Stripe account can be deferred ("Do this later") and completed afterward from your dashboard, but card-paid sales cannot be settled until the connection is completed.
4.4. Your Stripe Connect account is an account you open directly with Stripe, governed by Stripe's own terms and conditions (including Stripe's own identity-verification / KYC requirements). arta360 is not a party to your contractual relationship with Stripe and is not responsible for Stripe's decisions regarding the approval, suspension, or restriction of your Stripe account.
5. Listing and selling artworks
5.1. You warrant that every artwork you list is original, created by you (or that you hold all rights necessary to sell it), and that the description, dimensions, technique, and price shown are accurate and complete.
5.2. arta360 makes commercially reasonable efforts to accurately display the photographs you upload for your artworks; you are responsible for the quality and accuracy of the images you upload.
5.3. You agree to ship each order to the buyer within 7 calendar days of order confirmation, except where otherwise agreed in advance with arta360.
6. Per-order commission and payout settlement
6.1. arta360 retains a commission from the value of each completed order, per the percentage communicated in your artist account at the time of registration or of any subsequent update to the commercial terms.
6.2. The amount owed to you (sale price minus the applicable commission) is settled to your connected Stripe Connect account after delivery is confirmed and the buyer's applicable statutory withdrawal period has expired, unless the buyer exercises their right of return.
7. No off-platform transactions
You may not agree with a buyer you were introduced to through arta360 to complete a direct transaction outside the platform, for an artwork listed or discussed through arta360, for the purpose of avoiding the platform's commission.
8. License granted to arta360
By uploading photographs, descriptions, and other materials associated with your listed artworks, you grant arta360 a non-exclusive, worldwide license to reproduce, display, and promote this content for the purpose of operating and promoting the platform (including in marketing materials), for as long as the artwork is listed and, afterward, as a historical record of the transaction. You do not transfer copyright in the artwork itself.
9. Tax obligations and reporting (DAC7)
9.1. You are solely responsible for declaring and paying any taxes owed on income earned from sales made on arta360, under applicable tax law.
9.2. As a platform operator, arta360 has a legal obligation (EU Directive 2021/514 — "DAC7", as transposed into Romanian law) to collect certain tax-identification data (company registration number/CUI or CNP, address) and to report annually to ANAF (the Romanian tax authority) active sellers who exceed the statutory thresholds (more than 30 transactions and/or more than EUR 2,000 in reportable income within a calendar year). This processing is based on arta360's legal obligation (GDPR Art. 6(1)(c)) and is described further in our Privacy Policy.
10. Intellectual property
The platform's structure, interface, graphic elements, logo, and source code belong to arta360/Convex Technologies S.R.L. Copyright in your original artworks remains yours, subject to the license granted under Section 8.
11. Limitation of liability
arta360 is not liable for indirect damages, loss of profit, or data loss resulting from use of the platform, to the extent permitted by Romanian law, which does not permit limiting liability for willful misconduct or other harms for which the law expressly prohibits limitation. arta360 is not liable for payment delays or refusals caused by Stripe or a third-party bank, beyond arta360's reasonable control.
12. Personal data protection
We process your personal data (identification data, fiscal data, bank/Stripe data, address, sales history) in accordance with Regulation (EU) 2016/679 (GDPR). Full details are available in our Privacy Policy and Cookie Policy.
13. Dispute resolution
Any dispute is to be resolved amicably in the first instance. Failing an amicable resolution, the dispute falls under the jurisdiction of the competent Romanian courts of arta360's registered seat.
14. Account suspension and termination
We reserve the right to suspend or close your artist account if you breach these Terms (including, without limitation, listing non-original artworks, circumventing the commission, or providing false fiscal data), with prior notice where reasonably practicable.
15. Changes to these Terms
We may update these Terms from time to time. We will notify you of any material change with reasonable advance notice before it takes effect; for changes to commission rates or subscription fees, notice will be given with sufficient time before the change applies. Continuing to use your account after a new version takes effect requires you to re-confirm your acceptance through the platform.
16. Governing law and language
These Terms are governed by Romanian law. This English version is provided for convenience; the Romanian version is the legally authoritative text in case of any discrepancy.
